The rules for using CapoFine, the responsibilities on both sides, and how signed customer agreements control purchased services.

Operator and acceptance

CapoFine is registered in Estonia. These terms apply to the CapoFine website and, together with an accepted order form or main agreement, the CapoFine services.

By using the website, creating an account, or using a service supplied under an order form, you agree to the terms that apply to that use. If you act for an organisation, you confirm that you are authorised to bind it.

Agreement structure

A customer order form or main agreement sets the selected products, package, price, usage limits, implementation, term, and customer-specific commitments. A Service Level Agreement can set availability, support, recovery, and service-credit commitments. The Data Processing Agreement controls the processing of customer personal data.

If these website terms conflict with a signed customer agreement, the signed agreement prevails. For personal data processing, the Data Processing Agreement prevails over inconsistent service terms.

Service and licence

During the agreed term, CapoFine grants the customer a non-exclusive, non-transferable, temporary right to use the purchased CapoFine services for its internal business operations and subject to the agreed limits.

CapoFine may update the services, add functionality, or make security and maintenance changes. Features designated as beta require explicit customer activation and are supplied on a best-effort basis unless the order form says otherwise.

Customer accounts and responsibilities

  • Provide accurate account, billing, administrator, and support information and keep it current.
  • Protect accounts, use strong authentication, avoid shared credentials, remove access promptly when people leave, and review permissions regularly.
  • Configure roles, journeys, content, integrations, retention choices, and approvals for the customer's organisation.
  • Maintain a lawful basis and required notices for candidate, employee, and other personal data submitted to CapoFine.
  • Make all employment, legal, security, compliance, and operational decisions through appropriately qualified people. CapoFine coordinates work and learning but does not replace those decision-makers.

Acceptable use

  • Use CapoFine only for lawful business purposes and in accordance with applicable privacy, employment, anti-discrimination, export-control, and sector rules.
  • Do not upload unlawful, infringing, discriminatory, hateful, abusive, or malicious material.
  • Do not introduce malware, attempt unauthorised access, bypass security, probe the service without permission, reverse-engineer protected parts, overload interfaces, or interfere with another customer's use.
  • Do not use website forms, APIs, or service access to send spam, scrape data, or exceed documented or contracted limits.

Customer content and data

The customer retains ownership of its employee data, candidate data, documents, policies, media, configurations, and other content. The customer gives CapoFine the limited rights needed to host, process, display, copy, transmit, and support that content for the agreed service.

Customer content is not used for unrelated commercial purposes. Data processing is governed by the privacy notice and, for customer-controlled platform data, the Data Processing Agreement.

CapoFine intellectual property

CapoFine and its licensors retain all rights in CapoFine, including the software, architecture, source code, interfaces, algorithms, documentation, brand, and service materials. No ownership transfers to the customer except where a signed agreement expressly says so.

Feedback may be used to improve the services without identifying the contributor or disclosing confidential customer information.

Website tools and information

Website content is general product and commercial information. It is not legal, compliance, employment, security, or financial advice. A Plan Finder result is guidance, not a binding package recommendation.

The ROI calculator uses assumptions supplied by the visitor and modelling described in the result. It does not guarantee savings, retention, productivity, compliance, or another outcome. A quotation and signed agreement control all purchased scope and pricing.

Availability, support, and third parties

Availability, response times, recovery targets, maintenance windows, service credits, and support channels apply only where stated in the customer's order form or Service Level Agreement.

Integrations and third-party services can be subject to their own terms, availability, and technical limits. CapoFine is not responsible for issues caused by third-party systems outside its control, except to the extent a signed agreement states otherwise.

Fees, renewal, and taxes

Fees, billing frequency, payment dates, renewal, usage limits, and implementation charges are set in the order form or main agreement. Fees are exclusive of applicable taxes unless stated otherwise.

If an undisputed amount remains overdue, CapoFine may limit or suspend access after the notices and periods in the applicable customer agreement. Statutory interest and reasonable collection costs may apply.

Suspension and termination

We may suspend access where reasonably necessary to stop unlawful use, protect the service or other customers, respond to a security risk, or address a serious contractual breach. We will notify the customer as soon as reasonably possible unless law or urgent security needs prevent it.

Termination rights and notice periods are set in the signed customer agreement. When service ends, the customer's usage licence ends. Export, read-only access, return, retention, and deletion follow the order form, Service Level Agreement, and Data Processing Agreement.

Warranties and liability

Each party must perform its obligations with reasonable care and skill. Except for express commitments in a signed agreement, CapoFine is provided without implied warranties to the fullest extent permitted by law.

Any service credits, exclusions, indemnities, and liability limits are those in the signed customer agreement and Service Level Agreement. Nothing in these terms excludes liability that cannot lawfully be excluded or limited.

Law, disputes, and changes

These terms are governed by Estonian law. Disputes relating to a customer agreement are submitted to the court identified in that agreement. Unless mandatory law says otherwise, disputes relating only to these website terms are submitted to the competent courts of Estonia.

We may update these terms to reflect service, security, or legal changes. We will publish the current version here and give contractual notice of material changes where the signed agreement requires it. If one provision is unenforceable, the remaining provisions continue.
